What else a Wyoming freelancer deals with

LLC annual report license tax

The Wyoming Secretary of State charges LLCs an annual license tax based on assets located and employed in Wyoming. It is $60 or two-tenths of one mill on the dollar ($0.0002), whichever is greater, so entities with $300,000 or less in such assets pay $60. The report is due on the first day of the anniversary month of formation and can be filed up to 120 days early. (source 1, source 2)

Late annual reports and dissolution

According to the Secretary of State, an entity becomes delinquent on the second day of the month after its annual report due date. If the report is not filed within 60 days after the due date, the entity faces administrative dissolution. Reinstatement is possible only within two years of dissolution. The fee schedule effective July 1, 2026 lists $100 to form an LLC and $100 for reinstatement for unpaid tax. (source 1, source 2)

Professional services are not subject to sales tax

The Excise Tax Division's Professional Services bulletin (revised August 2026) says Wyoming has no statute taxing professional services that exclude sales or repair of tangible personal property. It names accountants, engineers, attorneys, consultants, technical writers and trainers. The Division typically does not require these providers to hold a sales tax license. Equipment and supplies bought for the business are still subject to sales or use tax. (source)

Software and computer services

The Division's Computer Sales & Services bulletin (revised August 2026) says creating or selling custom software is not subject to sales tax. Prewritten software is tangible personal property and is taxable however it is delivered. A separately stated custom modification is not taxable. Repair, installation or alteration of computer hardware or prewritten software is taxable, and so is installing updates or patches. (source)

Sales tax rate and licensing

The Excise Tax Division's FAQ gives a 4% statewide sales tax, with county rates generally between 4% and 8% after voter-approved local add-ons. Forming a Wyoming entity does not by itself require a sales tax license, and a registered agent or virtual office is not a physical presence. For services other than sales of tangible goods, the Division directs businesses to its Education & Taxability team for a written determination. (source)
